Dax Code (daxcode.com) is a brand and service operated under Nextvoid Private Limited (nextvoid.com).
All contracts, invoices, and legal obligations are fulfilled by Nextvoid Private Limited.
Welcome to Dax Code. By accessing our website (daxcode.com) or engaging our services, you (“Client”, “you”, “your”) agree to these legally binding Terms & Conditions (“Terms”).
If you do not agree, please do not use our website or services.
📌 1. Scope of Services
Dax Code offers (but is not limited to):
Website & web application design and development (WordPress, custom PHP, etc.)
Plugin & module development and customization
API integration & payment gateway solutions
Hosting setup, migration & server security
SEO, digital marketing & analytics
UI/UX design, graphics, branding & content services
Maintenance, updates & technical support
CRM, cloud backup, CDN integration and related consulting
Each project scope, pricing, timeline and deliverables are specified in an individual proposal, invoice, or written agreement.
💰 2. Orders, Pricing & Payments
All prices exclude taxes unless explicitly stated.
Payment terms (e.g., advance %, milestone %) are detailed in proposals or invoices.
Work begins only after receipt of agreed advance payment.
Remaining payments are due upon completion of milestones or final delivery, whichever is earlier.
Late payments may delay delivery and may incur additional charges.
For recurring services (hosting, maintenance, backups, etc.), you must keep payments current; non-payment may result in suspension or termination.
📦 3. Delivery & Acceptance
Deliverables will be shared as per agreed milestones.
Client must review and confirm acceptance (or request revisions) within the review period specified in the proposal (usually 7–14 days).
If no feedback is provided within that period, deliverables will be deemed accepted.
✏️ 4. Changes, Revisions & Additional Work
Minor revisions as defined in the proposal are included.
Major revisions, scope changes, or additional work not in the original agreement will be quoted separately.
Any delay in providing content, approvals, or payments from Client side may shift delivery timelines.
⚙️ 5. Intellectual Property
All project files, code and designs remain the property of Dax Code until full payment is received.
Upon full payment, the Client receives a non-exclusive, non-transferable license to use the deliverables for the intended project.
Third-party assets (e.g., stock photos, fonts, libraries, APIs) remain subject to their respective licenses; Client must ensure compliance unless otherwise arranged in writing.
We reserve the right to display completed projects in our portfolio and marketing materials, unless Client requests otherwise in writing.
🛡️ 6. Client Responsibilities & Warranties
By using our services, you confirm:
You have the right to provide us with content, logos, data or materials.
Content you supply does not infringe any rights, laws, or third-party terms.
You will respond to queries, feedback, or approvals promptly to avoid delays.
You will not use our services for illegal, harmful, or abusive purposes.
🌐 7. Use of Third‑Party Tools, Logos & Content
We may use or display third-party tools, plugins, APIs, stock images, logos or brand names (e.g., WordPress, Azure, Microsoft, Google, WooCommerce).
All such trademarks and brand names belong to their respective owners; Dax Code does not claim ownership or endorsement, except where explicitly stated.
Demo content and stock media used in mockups are illustrative only. Commercial use may require separate licensing, which is Client’s responsibility unless explicitly provided by Dax Code.
🔒 8. Data & Privacy
We collect, store and process your data as described in our Privacy Policy.
Project data, content and files may be stored securely in our CRM, hosting environments and backups.
We follow industry best practices to protect data but cannot guarantee absolute security.
⚖️ 9. Limitation of Liability
We do our best to deliver secure, reliable solutions.
However, Dax Code shall not be liable for indirect, incidental, consequential, or special damages, including but not limited to data loss, business interruption, or lost profits.
Our total liability for any claim related to a specific project is limited to the amount actually paid by Client for that project.
🚫 10. Suspension & Termination
We may suspend or terminate services if:
You breach these Terms,
Fail to pay invoices,
Engage in illegal or abusive use.
Either party may terminate a project in writing, subject to settlement of pending obligations.
❗ Service Suspension, Termination & Legal Action
Dax Code (operated under Nextvoid Private Limited) reserves the right to suspend, revoke, or permanently terminate any service or access — with or without prior notice — if:
The client breaches payment terms, project scope, or legal obligations
Attempts to defraud, misrepresent, or deliberately mislead Dax Code or its team
Uses services for illegal, fraudulent, harmful, or prohibited activities
Initiates unauthorized chargebacks or disputes without first attempting direct resolution
Engages in vulgar, abusive, harassing, threatening, or otherwise unprofessional language or conduct towards Dax Code team members
Causes or risks harm to server integrity, platform security, or other clients
In such cases:
No backup, refund, transfer, or recovery of data, deliverables, or paid amounts will be provided
Any remaining service period, support hours, or advance payments will be immediately forfeited
If the cause is serious, intentional, or illegal, Dax Code also reserves the right to pursue appropriate legal action, claims for damages, and recovery of costs
Dax Code’s decision will be final and at its sole discretion
⚙️ 11. Updates to These Terms
We may update these Terms from time to time to reflect service changes, business needs, or legal requirements.
Updated terms will be published on daxcode.com; continued use means you accept them.
🏛️ 12. Governing Law
These Terms are governed by and construed under the laws of India, without regard to conflict of law principles.
Any disputes will be subject to the jurisdiction of the competent courts of New Delhi, India.
